1. Scope of Work The Developer agrees to design, develop, and deliver a website based on the agreed project requirements, proposal, quotation, or st-atement of work. - Website Design (UI/UX) - Front-End Development - Back-End Development - Database Integration - Responsive Mobile Design - CMS Integration - API Integration - Testing and Quality Assurance - Website Deployment Any additional features requested after project approval shall be considered outside the original scope and may require additional fees. 2. Project Timeline The estimated project duration is: Start Date: within 7 days upon the payment The timeline depends on the Client providing all required content, approvals, and feedback on time. Project delays caused by the Client shall automatically extend the completion schedule. 3. Project Fees (if installment) Payment Schedule: 30% Down Payment before project starts and the remaining of 70% balance will be installment without with interest if over 12 months interest 4. Additional Work Any work outside the approved scope shall be billed separately. 5. Client Responsibilities The Client agrees to: - Provide complete project requirements. - Submit logos, images, and content on time. - Respond to questions and approval requests promptly. - Review submitted work within five (5) business days. - Ensure they have the legal right to use all supplied content. The Developer is not responsible for delays caused by missing information from the Client. 6. Intellectual Property Upon full payment: - The Client becomes the owner of the completed website design. - The Developer retains ownership of any proprietary frameworks, reusable libraries, templates, tools, or components developed independently before or outside this project. The Developer may showcase the completed project in its portfolio unless the Client requests confidentiality in writing. 7. NP Web Developer Third-Party Services will provide: - One year Domain Registration - One year Server - SSL Certificates - 10 Business Email - 3 months of FREE maintenance 8. Testing and Acceptance The Developer will provide the Client with a testing period of seven (7) calendar days after delivery. If no issues are reported within this period, the project will be considered accepted. 9. Warranty The Developer provides a 30-day limited warranty after project completion covering bugs directly related to the original development. The warranty does not include: New features Third-party software issues Hosting problems Client modifications Server configuration changes Browser updates occurring after delivery 10. Maintenance Website maintenance is not included unless specified in a separate maintenance agreement. Maintenance services may include: Security Updates Content Updates Website Monitoring Performance Optimization Backup Management 11. Confidentiality Both parties agree to keep confidential any proprietary or sensitive information shared during the project. Confidential information shall not be disclosed without written consent unless required by law. 12. Cancellation Either party may terminate this Agreement by providing written notice. If the Client cancels: - The initial down payment is non-refundable. - The Client shall pay for all completed work performed up to the cancellation date. If the Developer cancels: - Any unearned payments received will be refunded. - All completed work paid for by the Client will be delivered. 13. Delayed Payments Invoices are due within the agreed payment period. Late payments may result in: Suspension of development work. Delay in project delivery. Late payment charges if agreed upon in writing. The Developer reserves the right to withhold final files until all outstanding balances have been paid. 14. Limitation of Liability The Developer shall not be liable for: Loss of business Loss of revenue Loss of profits Data loss caused by third-party providers Cyberattacks Hosting outages Force majeure events Indirect or consequential damages The Developer's maximum liability shall not exceed the total amount paid by the Client under this Agreement. 15. Governing Law This Agreement shall be governed by the laws applicable in the jurisdiction agreed upon by both parties. Any disputes shall first be resolved through good-faith negotiation before resorting to legal proceedings. 16.Entire Agreement This document constitutes the entire agreement between the Developer and the Client and supersedes all prior discussions, emails, proposals, and verbal agreements.
